Terms of service for Advanced Spreadsheets Processor for Google Workspace

These Terms of service ("Terms") govern access to and use of Advanced Spreadsheets Processor for Google Workspace (the "Service"), operated by APPS4GS ltd. ("we", "us"). By creating an account, accessing the API, or using the Service, you agree to these Terms.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes the organization.

1. The Service

The Service provides an API that performs spreadsheet operations such as merge, combine, compare, filter, sort, and export or import. The Service processes spreadsheets in your Google Drive based on parameters you provide and then updates existing files or creates new spreadsheet files in your Google Drive.

2. Eligibility

You must be able to form a binding contract in your jurisdiction to use the Service. If you use the Service for an organization, you must have authority to accept these Terms for that organization.

3. Accounts, authentication, and access to Google Drive

3.1 Account registration

You may need an account to use the Service. You are responsible for maintaining the confidentiality of your account and for all activity under your account.

3.2 Google OAuth authorization

To access your Google Drive and Google Sheets files involved in a task, you authorize the Service through Google OAuth.
You control this authorization and can revoke it at any time in your Google Account settings.

3.3 Scope limitation

We access only the files involved in the task you request through the API or through a scheduled task you configured. We do not intentionally access unrelated files.

4. Your content and instructions

4.1 Your data

You retain all rights to your spreadsheets and other content stored in your Google Drive. We do not claim ownership of your content.

4.2 Your instructions

You are responsible for the parameters you submit, selecting the correct source and destination files, and verifying results.
We recommend maintaining backups and using test files before running large or irreversible operations.

5. Acceptable use

You agree not to:

  • Use the Service in violation of any law or regulation.
  • Interfere with or disrupt the Service, security, or integrity of our systems.
  • Attempt to gain unauthorized access to the Service or related systems.
  • Use the Service to transmit malware or exploit vulnerabilities.
  • Abuse the API, including circumventing plan limits or rate limits.

We may suspend or terminate access for misuse or suspected misuse.

6. API usage rules

6.1 API keys and credentials

If we issue API keys or other credentials, you must protect them and not share them publicly. You are responsible for activity performed using your credentials.

6.2 Rate limits and usage limits

We may apply rate limits and usage limits to protect the Service and ensure fair use.
Depending on your plan, limits may include one or more of the following:

  • Number of operations or requests
  • Number of spreadsheets or sheets processed
  • Number of users, workspaces, or connections
  • Concurrency limits (jobs running at the same time)

Plan limits are described at purchase time or in the Service documentation, and may change if we update the Service or plans.

7. Plans, billing, and payments

7.1 Pricing models

The Service may be offered under one or more pricing models:

  • Subscription plans billed by time period (monthly or annual)
  • One-time purchases (for example a fixed number of operations, credits, or a lifetime plan if offered)

The specific plan you purchase, its limits, and its price are shown at checkout or in your account.

7.2 Payment processor

Payments are processed by PayPro Global or another authorized payment provider. We do not store full payment card details.

7.3 Taxes

Prices may exclude taxes unless stated otherwise. You are responsible for any applicable taxes, duties, or similar governmental charges, except where we are required to collect them.

7.4 Subscriptions, renewal, and cancellation

Subscriptions renew automatically unless you cancel before the renewal date.
You can cancel at any time. Cancellation takes effect at the end of the then-current billing period unless stated otherwise at checkout.
We may offer upgrades or downgrades. Any billing changes depend on the plan terms shown at the time you make the change.

7.5 One-time purchases

If you purchase a one-time plan or credits, details such as included units, expiration (if any), and usage rules will be shown at purchase time.

7.6 Refunds

Refunds are available only as described below, unless a different rule is shown at checkout or required by law.

  • Annual subscriptions: you may request a refund within 30 days of purchase or renewal.
  • All other purchases (including monthly subscriptions, one-time purchases, and add-ons such as an extension pack): you may request a refund within 3 days of purchase.

Refund requests must be submitted to our support. Approved refunds are processed via PayPro Global using the original payment method when possible.

8. Scheduled tasks

If the Service supports scheduled tasks, you can configure jobs to run automatically based on your schedule. You are responsible for ensuring scheduled tasks remain appropriate and for reviewing results.
We may pause scheduled tasks for maintenance, reliability, security, or if required by law.

9. Service availability and support

We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation.

We offer support tiers that may depend on your plan:

  • Email support
  • Live support
  • Priority support

Support channels, availability, and any response-time targets are described in the Service documentation or in your plan details.

10. Changes to the Service and Terms

We may update the Service and these Terms from time to time.
If changes materially affect your rights, we will provide reasonable notice (for example by posting an update on our website or notifying you in the Service). Continued use after the effective date means you accept the updated Terms.

11. Suspension and termination

We may suspend or terminate your access to the Service if:

  • You breach these Terms.
  • We reasonably believe your use poses a security risk, legal risk, or harms other users.
  • We are required to do so by law.

You may stop using the Service at any time. You can revoke Google OAuth access at any time via your Google Account.

12. Disclaimers

The Service is provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that processing results will be error-free, complete, or suitable for your intended purpose.

13. Limitation of liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claims arising out of or relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or EUR 100, whichever is higher.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your breach of these Terms.
